Land Credit Terms of Service

These Terms of Service ("Terms") govern your use of the Land Credit platform ("Platform"), operated by Land Credit, LLC ("Land Credit," "we," "our," or "us"). By accessing or using the Platform, you agree to be bound by these Terms.
1. Eligibility and Use
Use of the Platform is restricted to licensed brokers who maintain valid legal escrow accounts and who facilitate the sale of transferrable tax credits. By using the Platform, you represent and warrant that you meet these eligibility requirements.
2. Permitted Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. Prohibited behaviors include, but are not limited to:
Submitting false or misleading information
Engaging in fraudulent or illegal activity
Impersonating another person or entity
Attempting to bypass platform security features or interfere with system operations
3. Land Credit’s Role
Land Credit acts solely as a technology facilitator to support the processing and management of transferrable tax credit transactions. We are not a party to the underlying transaction between buyers and sellers and assume no responsibility for the legal, financial, or regulatory aspects of those transactions.
4. User Responsibilities
By using the Platform, you agree to:
Provide accurate and complete information during onboarding and in all transaction-related data
Maintain legal and regulatory compliance with all relevant jurisdictions
Promptly pay all applicable fees
Use the Platform only in accordance with these Terms
5. Dispute Resolution and Jurisdiction
Any disputes arising from or related to your use of the Platform shall be resolved through binding arbitration conducted in the Commonwealth of Virginia. These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
6. Limitation of Liability
To the maximum extent permitted by law, Land Credit shall not be liable for:
Any indirect, incidental, or consequential damages
Loss of profits, revenue, or data
Errors, delays, or failures resulting from third-party services (including Stripe, Glide, or PandaDoc)
Audited or disqualified tax credits—responsibility for credit compliance lies solely with the broker
In no event shall Land Credit’s total liability exceed the amount of fees paid to us in the previous six (6) months.
7. Account Suspension or Termination
Land Credit reserves the right to suspend or terminate your account at any time, including but not limited to:
Non-payment of fees
Misuse of the Platform
Violation of these Terms or applicable laws
Upon termination, your access to the Platform may be revoked, and all data must be exported within 30 days if permitted by law.
8. Modifications to Terms
We may update these Terms from time to time. Changes will be communicated via email or posted on our website. Continued use of the Platform after such changes constitutes your acceptance of the updated Terms.
9. Third-Party Services
The Platform relies on third-party services to operate effectively, including:
Stripe for payment processing
Glide for data storage and platform backend
PandaDoc for document generation and signature workflows
Your use of the Platform may also be subject to the terms and privacy policies of these providers.
10. Indemnification
You agree to indemnify, defend, and hold harmless Land Credit, its officers, employees, and contractors from any claims, losses, liabilities, or expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or any transaction processed through your account.
